OVERVIEW
Welcome to Local Marketplace (“Local Marketplace,” “we,” “us,” or “our”). We operate this website and related services, tools, features, and content (collectively, the “Services”) to provide you with a curated shopping experience. The Services are powered by Shopify, which enables us to provide the Services to you.
These Terms of Service (the “Terms”) and the policies referenced here (including our Privacy Policy and Return & Refund Policy) describe your rights and responsibilities when using the Services. By visiting, interacting with, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
SECTION 1 – ACCESS AND ACCOUNT
You represent that you are at least the age of majority in your jurisdiction and that you consent to any minor dependents using the Services on devices you own or manage. You may be asked to provide information (e.g., email, billing, payment, shipping). You represent and warrant that such information is accurate, current, and complete and that you have the rights to provide it.
You are responsible for maintaining the security of your credentials and all activity under your account. You may not transfer, sell, assign, or license your account.
SECTION 2 – OUR PRODUCTS & CONTENT
We aim to present accurate product and service information. However, product images, colors, and appearance may vary by device or supplier. Descriptions, pricing, and availability are subject to change without notice. We may limit quantities or discontinue products at any time.
Marketplace Content: Many listings, prices, and policies are provided by independent suppliers (“Suppliers”). While we host this information, Suppliers are responsible for their own listings, fulfillment, and compliance with applicable laws. We do not guarantee that any product will meet your expectations.
SECTION 2A – MARKETPLACE RELATIONSHIP & SELLER OF RECORD
Local Marketplace connects you with independent Suppliers who may process and fulfill your orders.
- When a Supplier is the Seller of Record, the purchase contract is between you and that Supplier. Local Marketplace facilitates the transaction and provides platform and support services.
- When Local Marketplace is the Seller of Record, the purchase contract is with Local Marketplace directly.
We may collect payments on behalf of Suppliers and assist with customer service, but Suppliers are responsible for their own products, warranties, returns, and policies unless otherwise stated.
SECTION 3 – ORDERS
Your order constitutes an offer to purchase. Orders are accepted only when confirmed and payment is processed. We or the Supplier may cancel or refuse orders for reasons including stock, pricing errors, suspected fraud, or regulatory concerns. You will be notified using your provided contact information.
Your purchases are subject to our Return & Refund Policy and any Supplier-specific policies displayed on the product page or communicated after purchase.
SECTION 4 – PRICES, TAXES & BILLING
Prices and promotions may change without notice. Prices exclude taxes, shipping, customs, and duties unless stated otherwise.
You agree to provide current and accurate billing information and authorize us (or our payment processor) to charge your selected payment method for all purchases. You represent that you are authorized to use the payment method and agree to pay all charges, taxes, and applicable fees.
SECTION 5 – SHIPPING & DELIVERY
Suppliers generally fulfill and ship orders directly. Delivery times are estimates and may vary. Local Marketplace is not responsible for carrier delays, customs holds, or force-majeure events. Title and risk of loss transfer upon shipment by the Supplier or Seller of Record. See our Shipping and Return & Refund Policy for full details.
SECTION 6 – INTELLECTUAL PROPERTY
All content on the Services (including text, images, graphics, logos, and layout) is owned by Local Marketplace, its affiliates, or licensors. You may use the Services for personal, non-commercial purposes only. No license or right is granted except as expressly stated. Unauthorized use may violate copyright, trademark, or other laws.
SECTION 7 – OPTIONAL TOOLS
We may provide access to third-party tools “as is” and “as available.” Use of these tools is at your own risk and subject to the provider’s terms.
SECTION 8 – THIRD-PARTY LINKS
The Services may include links to third-party sites or content. We are not responsible for examining or evaluating their content and assume no liability for it. Use at your own risk and review each third party’s policies before transacting.
SECTION 9 – RELATIONSHIP WITH SHOPIFY
Local Marketplace is powered by Shopify, which enables us to provide the Services to you. However, sales and purchases occur directly between you and Local Marketplace (or the applicable Supplier). Shopify is not responsible for any transaction or related issue. You expressly release Shopify and its affiliates from any claims, damages, or liabilities arising from your use of the Services or purchases made through the site.
SECTION 10 – PRIVACY POLICY
All personal information is handled per our Privacy Policy and Shopify’s privacy practices. By using the Services, you consent to our collection and sharing of data with Shopify and authorized partners (which may include cross-border transfers).
Cookies & Tracking
We use cookies, pixels, and similar technologies to improve site performance, personalize content, and analyze traffic. By using our site, you consent to cookie usage in accordance with our Privacy Policy.
SECTION 11 – FEEDBACK
Any ideas, reviews, or materials you submit (“Feedback”) grant us a worldwide, royalty-free license to use and display them for business and marketing purposes. You warrant that you own or control the rights to your Feedback and that it does not infringe on any third-party rights.
SECTION 12 – ERRORS & OMISSIONS
We may correct errors, inaccuracies, or omissions (including pricing and descriptions) at any time without notice, including after an order is placed.
SECTION 13 – PROHIBITED USES
You agree not to use the Services for unlawful purposes, infringe IP rights, transmit harmful code, spam, collect personal data without consent, or attempt to disrupt or exploit the platform. We reserve the right to suspend or terminate access for violations.
SECTION 14 – TERMINATION
We may suspend or terminate your access at any time without notice. All obligations accrued prior to termination survive.
SECTION 15 – DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY STATED, THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that use will be uninterrupted or error-free.
SECTION 16 – LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCAL MARKETPLACE, ITS SUPPLIERS, AND SHOPIFY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES OR LOST PROFITS ARISING OUT OF YOUR USE OF THE SERVICES OR PRODUCTS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICABLE PRODUCT OR $100, WHICHEVER IS GREATER.
SECTION 17 – INDEMNIFICATION
You agree to indemnify and hold harmless Local Marketplace, Shopify, and their affiliates from claims or liabilities arising from your use of the Services, your Feedback, or any violation of these Terms or applicable law.
SECTION 18 – SEVERABILITY
If any term is deemed unlawful or unenforceable, it will be limited to the minimum extent necessary; the rest remain in effect.
SECTION 19 – WAIVER; ENTIRE AGREEMENT
These Terms, together with posted policies, form the entire agreement between you and Local Marketplace. Failure to enforce any right is not a waiver of that right.
SECTION 20 – ASSIGNMENT
You may not assign these Terms without written consent. We may assign them freely in connection with a merger, sale, or corporate reorganization.
SECTION 21 – GOVERNING LAW
These Terms are governed by the laws of the jurisdiction where Local Marketplace is headquartered. Local laws providing mandatory consumer rights still apply.
SECTION 22 – DISPUTE RESOLUTION & ARBITRATION
To the fullest extent permitted by law:
- Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) or a similar recognized provider, under its Consumer Arbitration Rules.
- The arbitration shall take place in the state where Local Marketplace is headquartered, unless both parties agree otherwise.
- Each party will bear its own costs unless the arbitrator determines otherwise.
- Class actions and class arbitrations are not permitted.
If arbitration is unenforceable, disputes shall be heard in the state or federal courts of our principal business location.
SECTION 23 – CONSUMER RIGHTS (EU, UK & CANADA)
If you are located in the EU, UK, or Canada, you may have additional rights under consumer protection laws, including the right to withdraw from certain online purchases within 14 days, and rights relating to defective goods or digital content. Nothing in these Terms limits those statutory protections.
SECTION 24 – SUPPLIER & VENDOR TERMS
If you are a Supplier or vendor using Local Marketplace to sell products, your participation is also governed by our Supplier/Vendor Terms of Participation [LINK]. In the event of conflict between these Terms and the Supplier/Vendor Terms, the latter governs for supplier-related activities.
SECTION 25 – HEADINGS
Headings are for convenience only and do not affect interpretation.
SECTION 26 – CHANGES TO TERMS
We may update these Terms at any time. We will notify you of material changes as required by law. Continued use of the Services after such notice constitutes acceptance of the new Terms.
